Terms of Service

1. Acceptance of Terms

By accessing or using the Gythr platform ("Service"), operated by AiLexian Ltd. Co ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Gythr is a modular event management platform available at gythr.com that provides tools for event creation, registration management, agenda building, speaker management, attendee networking, analytics, communications, and related services. The Service is provided on a subscription basis with various tiers offering different features and capabilities.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. Subscription Plans and Billing

The Service offers free and paid subscription tiers. Paid subscriptions are billed on a recurring monthly basis. By selecting a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel. All fees are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change our pricing with 30 days' notice to current subscribers.

Platform fees may apply to ticket sales processed through the Service. The applicable platform fee percentage is determined by your subscription tier and is disclosed before you publish any paid events.

5. User Content

You retain ownership of all content you submit, post, or display on or through the Service ("User Content"), including event information, registration forms, speaker profiles, and attendee data. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that such content does not violate the rights of any third party.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Submit false, misleading, or fraudulent information;
  • Distribute spam, unsolicited communications, or malware;
  • Attempt to gain unauthorized access to any part of the Service or its related systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Scrape, harvest, or collect data from the Service without authorization;
  • Use the Service to promote illegal activities, hate speech, harassment, or discrimination;
  • Resell, sublicense, or redistribute the Service without written consent.

7. Event Organizer Responsibilities

If you use the Service to create and manage events, you are solely responsible for the accuracy of event information, compliance with applicable laws regarding your events (including consumer protection, accessibility, and data privacy laws), fulfilling obligations to attendees (including refunds where applicable), and obtaining necessary permits, licenses, or insurance for your events.

8. Payment Processing

Payment processing for ticket sales is provided by Stripe, Inc. ("Stripe"). Your use of Stripe's services is subject to the Stripe Connected Account Agreement. We are not responsible for errors, outages, or issues caused by Stripe or any third-party payment processor.

9. Intellectual Property

The Service, including its original content, features, and functionality (excluding User Content), is and will remain the exclusive property of AiLexian Ltd. Co. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, available at gythr.com/privacy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may cancel your account at any time through your account settings. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

IN NO EVENT SHALL RELIME LAB LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless AiLexian Ltd. Co and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your User Content, or your events.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.
